This document sets forth the Terms and Conditions ('Agreement') governing the use of services provided by ZainSpot, located at MLC Centre, 19-25 Martin Place, Sydney NSW 2000. By subscribing to or using ZainSpot services, you ('Customer') agree to be bound by the terms outlined herein.

1. DEFINITIONS

   • In this Agreement, the following terms shall have the meanings specied:

     • ZainSpot: Refers to ZainSpot, a company registered with company number [insert company number].
     • Address: Refers to the registered address provided for mail-handling services, MLC Centre, 19-25 Martin Place, Sydney NSW 2000.
     • Services: The virtual oce services provided by ZainSpot, including mail scanning and telephony services, as further detailed in the applicable subscription plan.
     • Customer: The individual, business, or entity subscribing to ZainSpot services.
     • Mail: Includes correspondence such as letters. Parcels and packages are not accepted under any circumstances.

2. BASIS OF CONTRACT

   • The Customer's request for Services constitutes an oer to enter into a contract under these Terms and Conditions.
   • The contract ('Agreement') shall commence upon ZainSpot's written acceptance of the Customer's order, at which point it becomes binding and enforceable.
   • ZainSpot reserves the right to amend these Terms and Conditions or the scope of the Services at any time, provided such amendments comply with applicable laws or enhance the quality of the Services.

3. PHYSICAL MAIL HANDLING CONDITIONS

   • ZainSpot will scan and email the contents of letters addressed to the Address provided by the Customer.

     • No Mail Forwarding: ZainSpot does not provide mail forwarding services.
     • No Mail Collection:ZainSpot does not permit the Customer or any third party to collect mail from the Address.
     • No Parcels: ZainSpot does not accept parcels, packages, or any mail exceeding standard letter sizes.

4. TELEPHONY CONDITIONS

   • Telephone numbers assigned to Customers remain the property of ZainSpot and are provided for use only during the active subscription term.
   • ZainSpot reserves the right to refuse any request to port telephone numbers to another service provider.
   • The Customer shall not make any claim against ZainSpot for damages resulting from the reassignment or revocation of telephone numbers.

5. CUSTOMER OBLIGATIONS

   • The Customer warrants that all information provided to ZainSpot is accurate and complete.
   • The Customer shall notify ZainSpot immediately of any changes to their business operations that could materially impact the provision of Services.

   • The Customer agrees not to use ZainSpot Services for:

     • Illegal activities or purposes prohibited by law;
     • Harassing, defamatory, or otherwise objectionable conduct;
     • Activities involving parcels or items outside the scope of standard mail-handling Services.

6. CHARGES AND PAYMENTS

   • All fees for ZainSpot Services are due in advance and must be paid in full as per the terms outlined in the subscription plan.
   • ZainSpot reserves the right to review and adjust its fees annually.
   • Payments made are strictly non-refundable, including for unused services or terminated agreements.

7. LIMITATION OF LIABILITY

   • ZainSpot's liability under this Agreement is limited to the total amount of fees paid by the Customer for the relevant Service in the preceding 12 months.

   • ZainSpot is not liable for:

     • Lost, delayed, or misdirected mail;
     • Consequential damages, loss of prots, or business interruption;
     • Failure to deliver Services caused by factors beyond its control.
   • The Customer is responsible for insuring any valuable or sensitive correspondence.

8. GOVERNING LAW AND JURISDICTION

   • This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia.
   • Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Courts of New South Wales, Australia.
